These Terms of Service (“Terms”) govern access to and use of the CogniQ software-as-a-service platform and related websites operated by COGNITIVE QUANTUM LLC (“Cognitive Quantum,” “we,” “us,” or “our”), including cognitive-quantum.com and cogniq.cognitive-quantum.com.
By creating an account, purchasing a subscription, or using CogniQ, you agree to these Terms. If you use CogniQ on behalf of an organization, you represent that you have authority to bind that organization.

2. The service
CogniQ is a B2B AutoML product that helps customers upload or connect tabular data, train machine-learning models, deploy models, generate predictions, and obtain explanatory / prescriptive insights, subject to plan limits published on our Pricing page.
We may update features, interfaces, and documentation over time. Material reductions to paid plan entitlements will be communicated through the product or email where reasonably practicable.
3. Accounts and eligibility
- You must provide accurate registration information and keep credentials secure.
- You are responsible for activity under your organization account, including invited users and API keys.
- CogniQ is intended for business / professional use. You must be legally able to enter a binding contract.
4. Subscriptions, pricing, and payment
- Paid plans are billed in advance on a monthly basis unless otherwise agreed in writing.
- Published prices are listed at cognitive-quantum.com/pricing.html.
- Checkout and invoicing for standard online purchases are processed by Paddle as Merchant of Record. Paddle’s Buyer Terms also apply to those purchases.
- Taxes and local charges may be collected by Paddle as required by law.
- Failure to pay may result in suspension or termination of paid features.
5. Free and trial access
Free or trial tiers are provided as-is with limited quotas. We may modify or discontinue free access with reasonable notice.
6. Acceptable use
You agree not to:
- Violate applicable law or third-party rights
- Upload unlawful, harmful, or infringing content
- Attempt to bypass security, quotas, or payment controls
- Reverse engineer the service except to the extent permitted by law
- Resell CogniQ access without our written consent
- Use the service to train competing foundation models on our proprietary system outputs at scale without permission
7. Customer data
You retain ownership of data you upload (“Customer Data”). You grant us a limited license to host, process, and transmit Customer Data solely to provide and improve the service for your account. Our handling of personal data is described in the Privacy Policy.
You are responsible for having the rights and consents needed to upload Customer Data to CogniQ.
8. Intellectual property
CogniQ software, branding, documentation, and related IP are owned by COGNITIVE QUANTUM LLC or its licensors. These Terms grant a limited, non-exclusive, non-transferable right to use the service during an active subscription.
9. Models and outputs
Model predictions, explanations, and prescriptions are probabilistic decision-support tools. They do not constitute legal, financial, medical, or other professional advice, and they do not guarantee business outcomes. You remain responsible for how you use outputs.
10. Refunds and cancellation
Refunds and cancellations are governed by our Refund Policy. You may cancel a subscription according to the process described there and in the product billing settings.
11. Warranties and disclaimer
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, COGNITIVE QUANTUM LLC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
12. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, COGNITIVE QUANTUM LLC WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY. OUR TOTAL LIABILITY ARISING OUT OF THESE TERMS IN ANY TWELVE-MONTH PERIOD WILL NOT EXCEED THE AMOUNTS PAID BY YOU TO US (OR TO PADDLE FOR OUR PRODUCT) FOR THE SERVICE DURING THAT PERIOD.
13. Indemnity
You will indemnify and hold harmless COGNITIVE QUANTUM LLC from claims arising out of your Customer Data, your misuse of the service, or your violation of these Terms or applicable law.
14. Suspension and termination
We may suspend or terminate access for material breach, non-payment, legal risk, or abuse. Upon termination, your right to access paid features ends. We may retain or delete Customer Data according to our Privacy Policy and operational needs.
15. Changes
We may update these Terms by posting a revised version on this page with an updated date. Continued use after the effective date constitutes acceptance of the revised Terms.
16. Governing law
These Terms are governed by the laws of the State of Wyoming, USA, without regard to conflict-of-law rules, except where mandatory consumer protections apply.
